INFORMATION ON LEGAL SUCCESSION (Ukraine)

Joint Stock Company Alfa-Bank (located at the address: 03150, Kyiv, 100 Velyka Vasylkivska Street, identification code 23494714) and Joint Stock Company Ukrsotsbank (located at the address: 03150, Kyiv, 100 Velyka Vasylkivska Street, identification code 00039019) inform that on October 15, 2019 JSC Alfa-Bank became the full legal successor of all rights, obligations and property of JSC Ukrsotsbank and acquired all rights to all assets of JSC Ukrsotsbank transferred to it by way of succession including (but not limited to) rights under security agreements (including suretyship agreements), as well as undertook obligations of the debtor on demands of creditors (depositors) under the transferred liabilities of JSC Ukrsotsbank  without  the need to amend the  relevant agreements.

JSC Alfa-Bank also became a successor of property and funds of JSC Ukrsotsbank on which encumbrances (including public encumbrances) and restrictions on disposal (including arrests) have been imposed under the transfer deed, while retaining such encumbrances and restrictions on disposal.

Since October 15, 2019 JSC Alfa-Bank acquired all rights and obligations regarding settlement of pecuniary liabilities or the tax debt of JSC Ukrsotsbank whereupon JSC Ukrsotsbank is considered  to be a legal entity which has no tax arrears, fees arrears and has no arrears in the payment of mandatory deductions.
